1. NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.
2. GENERAL INFORMATION. The Borderlands Xbox Sweepstakes, in connection with the motion picture [Borderlands], sponsored by the NCG Cinema family of companies, begins at 12:01 a.m. Eastern Time on [July 15,2024] and ends at 11:59 p.m. Eastern Time on [August 15, 2024]
3. HOW TO ENTER.
   1. If Online: During the Promotion Period, log on to www.ncgmovies.com and click to landing page for the Borderlands Xbox Sweepstakes and follow the on-screen entry instructions. Fill in all required information. You may enter only once /No more than [one entry per email address is permitted]. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. Partial and incomplete entries may be disqualified.
4. ELIGIBILITY. Open to residents of the 50 United States and D.C., 21 years of age and older as of July 15, except for employees of Sponsor, NCG Cinemas participating retailers, their affiliates, subsidiaries, and agencies.
5. DRAWING. Upon submission, entries become the sole property of Sponsor, and no entry will be acknowledged or returned. A random drawing will be conducted on or about August 16th by Sponsor. Odds of winning depend on the number of entries received. Any potential winner will be notified by email, phone, or another method of contact provided to Sponsor and may be required to sign and return any required [Affidavit of Eligibility and Release within 14 days of the date notice is sent or such other date set by Sponsor. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. All income taxes resulting from acceptance of prize are the responsibility of winner. By entering this Promotion, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters.
6. RELEASE AND INDEMNIFICATION: BY ENTERING THIS PROMOTION, ENTRANTS WAIVE ALL RIGHT TO, AND AGREES TO INDEMNIFY AND HOLD HARMLESS THE PROMOTION PARTIES FROM, ANY CLAIM, LIABILITY, LOSS, DAMAGE (INCLUDING PUNITIVE, INCIDENTAL, AND CONSEQUENTIAL DAMAGES), OR EXPENSE (INCLUDING ATTORNEYS’ FEES) ARISING OUT OF OR IN CONNECTION WITH PARTICIPATION IN THIS PROMOTION OR THE ACCEPTANCE, USE, OR MISUSE OF ANY PRIZE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. ACCEPTANCE OF A PRIZE ALSO CONSTITUTES PERMISSION TO THE PROMOTION PARTIES TO USE WINNER’S NAME, LIKENESS, AND ANY INFORMATION PROVIDED TO SPONSOR FOR MARKETING PURPOSES WITHOUT FURTHER COMPENSATION OR RIGHT OF APPROVAL, UNLESS PROHIBITED BY LAW. PROMOTION PARTIES WILL NOT BE RESPONSIBLE FOR: LOST, LATE, MISDIRECTED, DAMAGED, ILLEGIBLE, INCOMPLETE, INCORRECT, OR POSTAGE DUE ENTRIES; LOST, LATE, OR MISDIRECTED PRIZE NOTICES; OR ANY TYPOGRAPHICAL, OR OTHER ERROR IN THE PRINTING OF THE PROMOTION, ADMINISTRATION OF THE PROMOTION, OR ANNOUNCEMENT OF A PRIZE. IN THE EVENT OF ANY SUCH ERROR, SPONSOR RESERVES THE RIGHT TO CANCEL OR MODIFY THIS PROMOTION IN A MANNER DEEMED APPROPRIATE BY THE SPONSOR, AT THE SPONSOR’S SOLE DISCRETION. APPLICABLE FEDERAL AND STATE LAWS APPLY.
7. PRIZE: Xbox Series X. Total prize value: $500. Limit one prize per family or household. No substitution or transfer of prize permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (2) alternate drawings will be held, after which the prize will remain unawarded. Prize details not specified herein will be determined by Sponsor in Sponsor’s sole discretion.
8. GENERAL RULES. All applicable federal, state and local laws apply. The return of any notification to a winner as undeliverable, or failure to respond to notices or return any required documents in a timely manner, or a determination that a potential winner is ineligible or not in compliance with these Official Rules, as determined by the Sponsor, may result in disqualification of the winner and forfeiture of the corresponding prize. Promotion Parties are not responsible for: (i) electronic or digital transmissions or entries that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, or misdirected; (ii) any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation of transmission, communication failures (including but not limited to failures or malfunctions of phone lines, telephone systems or other communications systems), destruction of or unauthorized access to, or alteration of, entries; (iii) failed or unavailable hardware, network, or software; (iv) damage to entrants’ or any person’s computer; (v) causes beyond Promotion Parties’ reasonable control that jeopardize the administration, security, fairness, integrity or proper conduct of this Promotion; (vi) incorrect or inaccurate entry information whether caused by entrants or by any of the equipment or programming associated with or utilized in the Promotion; (vii) any typographical or other error in the printing or advertising related to the Promotion, in the administration or execution of the Promotion, or in the announcement/notification of prize winners; or (viii) cheating or fraud by any participant. All incomplete or non-conforming entries will be disqualified.
9. TERMINATION. Sponsor may modify or cancel this Promotion of these Official Rules at any time without prior notice for any reason whatsoever. Without limiting the foregoing, if for any reason this Promotion cannot be executed as planned, including but not limited to infection by virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of this Promotion, or if this Promotion is compromised or becomes corrupted in any way, electronically or otherwise, the Sponsor reserves the right, in its sole discretion, to suspend or terminate this Promotion. If the Promotion is terminated before the stated end date of the Promotion Period, the Sponsor will select any remaining winners in a random drawing from among all eligible, non-suspect entries received through all entry methods combined as of the time/date of termination.
10. GENERAL CONDITIONS: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, if any fraud, technical failures, human error, or any other factor impairs the integrity or proper functioning of the Promotion, or any event or cause beyond Sponsor’s control (e.g. events such as natural calamities, national emergencies, widespread illnesses, pandemics, declarations of war, acts of God, acts of terrorism) interferes with any aspect of the Promotion, including but not limited to fulfillment of the prize(s), as determined by Sponsor in its sole discretion. In such event, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance and may modify the prizes offered herein. Sponsor reserves the right, in its sole discretion, to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
11. CHOICE OF LAW AND FORUM. Except where prohibited, you agree that any and all disputes, claims and causes of action arising out of or connected with the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action. Entrant agrees that all matters arising out of or relating to this Promotion and these Official Rules are governed by, and construed in accordance with, the laws of Michigan, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this Promotion and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Lansing, Michigan.
12. PRIVACY. Information submitted with an entry is subject to the Privacy Policy stated on https://ncgmovies.com/privacy-policy/.
13. No Injunctive Relief. BY ENTERING INTO THE SWEEPSTAKES, EACH ENTRANT UNDERSTANDS AND AGREES THAT HE/SHE SHALL/THEY WILL HAVE NO RIGHT TO ENJOIN OR RESTRAIN THE DEVELOPMENT, PRODUCTION, ADVERTISING, PROMOTION OR EXPLOITATION OF THE PROMOTION OR OF THE MOTION PICTURE “Borderlands”, OR ANY OTHER MOVIE, PRODUCTION OR PROJECT OF CTMG OR ANY OF ITS AFFILIATES.
14. Borderlands Xbox sweepstakes is in no way sponsored, endorsed or administered by, or associated with any social media platform such as Meta, TikTok, or their respective affiliates (collectively, the “Third Parties”). You understand that you are providing your information to the Sponsor and not any of the Third Parties. You hereby release, to the full extent permitted by law, the Third Parties from all liability related to the Sweepstakes. Questions and comments regarding the Sweepstakes should be directed to the Sponsor and not to the Third Parties.
